Introduction

These terms and conditions govern the sale and purchase of products from Brandily Ltd ("the Company"). By placing an order, you agree to be bound by these terms. Please read them carefully and retain a copy for your records.

Our services are primarily available to businesses and individuals in the United Kingdom. For international orders, please contact us before purchasing to confirm availability and shipping options.

Ordering & Contract Formation

By placing an order, you confirm that:

  1. You are legally capable of entering into a contract.
  2. You are at least 18 years old.
  3. The information you provide is accurate and complete.
  4. No contract exists between you and Brandily Ltd until we confirm your order in writing (via email or invoice). We reserve the right to refuse or cancel any order at our discretion.

Product Customisation & Artwork

  1. If you provide a design, logo, or artwork for custom branding, you confirm that you have the legal right to use it. We accept no liability for copyright or trademark infringements.
  2. Before production begins, we will provide a proof for approval. Once approved, no further modifications can be made.
  3. Due to the nature of customised products, slight variations in colour, positioning, or size may occur. These are considered normal industry tolerances.

Pricing & Payment

All prices are quoted excluding VAT unless otherwise stated.

Payment Terms:

  1. New Customers: Full payment upfront before production starts. Proforma payment required before order processing.
  2. Existing Customers: Payment within 30 days of the invoice date, unless agreed otherwise.
    • We accept payments via bank transfer, debit/credit card, and other methods as agreed.
    • Late payments may incur interest charges of 8% above the Bank of England base rate.

Passing of Title and Risk

  1. The risk in the goods passes to you upon delivery.
  2. All goods, delivered or not, remain our property until full payment is received.
  3. In the event of non-payment, we may reclaim our goods and enter your premises to do so. You grant us an irrevocable license to enter your premises for this purpose.

Delivery & Risk

  1. Delivery times are estimates and are not guaranteed. We are not responsible for delays caused by couriers, suppliers, or external factors beyond our control.
  2. Risk in the goods passes to the customer upon delivery. However, ownership remains with Brandily Ltd until full payment is received.
  3. If goods arrive damaged, you must notify us within 4 days of delivery. Claims made after this period may not be accepted.
  4. Special express deliveries can usually be arranged but are subject to additional charges, which will be quoted and charged at current rates.

Returns & Cancellations

  1. Custom-branded products cannot be returned unless faulty or not as specified in your order confirmation.
  2. Non-customised stock items may be returned within 7 days of delivery with prior written consent. A restocking fee may apply.
  3. Cancellations for customised products are not permitted once production has started.
  4. Orders cancelled within 24 hours of placement will incur a £50.00 + VAT cancellation fee. Orders cancelled after 24 hours will incur a £50.00 + VAT fee plus any additional costs for work completed before cancellation.

Quantity Variation

We may fulfill our contract by delivering a quantity within 10% more or less than the ordered quantity of printed goods. You will be charged at the contract rate for the delivered quantity.

Claims

  1. Claims for damages or partial loss in transit must be made in writing within 7 days of delivery.
  2. Claims regarding the quality or quantity of goods must be made in writing within 7 days of receipt. Otherwise, the goods are deemed to comply with the contract terms.
  3. You must examine all delivered goods upon receipt. We are not liable for loss arising from transit damage unless noted on the delivery note at the time of delivery.

Intellectual Property

  1. All branding, designs, and intellectual property created by Brandily Ltd remain our property unless otherwise agreed in writing.
  2. Customers must ensure that any artwork provided does not infringe third-party rights.

Liability

  1. Our liability for any loss or damage suffered by you due to defects in the goods is limited to the contract value of the goods, except in cases of death, injury, or damage to personal property.
  2. We are not liable for indirect or consequential losses, including loss of business, profits, or contracts.
  3. We accept no responsibility for loss or damage arising from the supply of goods unless you fully comply with the claims procedure in clause 9.
  4. These terms and conditions do not affect your statutory consumer rights.

Overdue Accounts

  1. No goods will be delivered on accounts unpaid 14 days after the due date. Overdue invoices may incur 2% interest per month until payment is received and cleared. This is in addition to any other rights we have against you.
  2. We reserve the right to charge legal collection fees if necessary to obtain payment from you through third-party or court proceedings.

Force Majeure

We are not responsible for failure or delay in fulfilling obligations due to causes beyond our control. We may terminate the contract in whole or part without liability in such circumstances.

Data Protection & Privacy

  1. We comply with UK GDPR regulations in handling your personal data.
  2. Any personal information collected will only be used for order processing, customer service, and marketing (if consent is given). We do not share customer data with third parties without permission.
  3. Customers can request access to their personal data or ask for its removal by contacting us at sales@brandily.co.uk.

Changes to Terms & Conditions

We reserve the right to update or modify these terms at any time. Customers will be notified of significant changes via email or website updates. Continued use of our services after such changes constitutes acceptance of the revised terms.

Warranties & Guarantees

  1. Unless explicitly stated, products do not come with a warranty beyond standard manufacturer guarantees.
  2. Any warranty claims must be submitted in writing within the warranty period stated on the product listing or invoice.

Dispute Resolution

  1. If a dispute arises, we encourage customers to contact us first to resolve the issue amicably.
  2. If a resolution cannot be reached, disputes will be handled through mediation before any legal proceedings.
  3. Any legal disputes shall be governed by the laws of England & Wales and subject to the jurisdiction of the English courts.
